1. Agreement to Terms

By downloading, installing, or using DeepFlo ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

DeepFlo is a product of STUDCON PTY LTD, an Australian company ("we", "us", or "our"). These Terms apply to all users of the App, including free tier users and paid subscribers.

2. Description of Service

DeepFlo is a voice-to-text application for macOS that:

• Converts spoken words into text in real-time
• Streams transcribed text directly into your active application
• Offers optional AI enhancement for improved accuracy and formatting
• Runs locally on your device with cloud-based transcription processing

3. User Accounts and Licenses

3.1 Free Tier

• Available to all users at no cost
• Limited to 2,000 words per week
• Usage resets every Monday at 00:00 UTC
• Full access to all features within the word limit

3.2 Pro Subscription

• Unlimited words per month
• Valid on up to 3 devices per license
• Priority support
• Billed monthly or annually through Stripe

3.3 License Keys

• License keys are personal and non-transferable
• Do not share your license key with others
• We may revoke licenses used in violation of these Terms
• Lost license keys can be recovered via email

4. Payment and Billing

• All payments are processed securely through Stripe
• Prices are listed in USD and may be subject to applicable taxes
• Subscriptions auto-renew unless cancelled before the renewal date
• You can manage your subscription through the Stripe Customer Portal

5. Cancellation and Refunds

5.1 Cancellation

• You may cancel your subscription at any time
• Access continues until the end of your current billing period
• After cancellation, your account reverts to the free tier

5.2 Refunds

• We offer refunds on a case-by-case basis
• Refund requests must be made within 14 days of purchase
• To request a refund, contact support@deepflo.app
• Refunded licenses are immediately revoked

6. Acceptable Use

You agree NOT to use DeepFlo to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Generate spam, phishing content, or malicious text
• Attempt to circumvent usage limits or license restrictions
• Reverse engineer, decompile, or disassemble the App
• Share, sell, or redistribute your license key
• Use automated tools to abuse our transcription service
• Interfere with or disrupt our servers or infrastructure

7. System Requirements and Permissions

DeepFlo requires:

• macOS 11.0 (Big Sur) or later
• Microphone permission (for capturing speech)
• Accessibility permission (for typing into other apps)
• Active internet connection (for transcription processing)

The App will not function properly without these permissions. You grant these permissions voluntarily and can revoke them at any time through macOS System Settings.

8. Intellectual Property

• DeepFlo, including its design, code, and branding, is owned by us
• You retain full ownership of all content you create using DeepFlo
• We claim no rights to your transcribed text or documents
• The DeepFlo name and logo are trademarks - do not use without permission

9. Third-Party Services

DeepFlo uses third-party services including:

• Deepgram - Speech-to-text processing
• OpenAI - AI text enhancement (when enabled)
• Stripe - Payment processing

Your use of these services is subject to their respective terms and privacy policies.

10. Disclaimer of Warranties

DeepFlo is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

• Fitness for a particular purpose
• Merchantability
• Accuracy of transcriptions
• Uninterrupted or error-free service

Speech recognition technology is not perfect. Always review important transcriptions for accuracy.

11. Limitation of Liability

To the maximum extent permitted by law, DeepFlo and its operators shall not be liable for:

• Any indirect, incidental, special, or consequential damages
• Loss of data, profits, or business opportunities
• Errors or inaccuracies in transcriptions
• Service interruptions or outages

Our total liability is limited to the amount you paid for the service in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless DeepFlo and its operators from any claims, damages, or expenses arising from:

• Your use of the App
• Content you create using the App
• Violation of these Terms
• Infringement of any third-party rights

13. Termination

• You may stop using DeepFlo at any time
• We may suspend or terminate your access for violation of these Terms
• Upon termination, your license key will be revoked
• Provisions regarding intellectual property, liability, and indemnification survive termination

14. Updates and Modifications

• We may update the App periodically to improve functionality
• We may modify these Terms at any time
• Continued use after changes constitutes acceptance of new Terms
• Material changes will be communicated via email or in-app notification

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Australia. Any disputes shall be resolved in the courts of New South Wales, Australia.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
